LLC vs Corporation Before You Borrow

Any common business structure can get an SBA loan, including sole proprietorships. But how your business is set up affects paperwork, taxes and what the lender asks for. If you have not formed your business yet, set it up cleanly before you apply.

The main options

Structure Good for What lenders notice
Sole proprietor Very small, one-owner businesses No separation between you and the business; your Schedule C shows the profit
LLC Most small businesses Simple, flexible, protects personal assets in many cases; operating agreement shows ownership
S corporation Profitable businesses wanting tax savings on payroll Owner salary plus distributions; lenders add both when measuring cash flow
C corporation Businesses planning outside investors More formal; separate corporate tax return

Choose with a tax professional. The structure that saves you the most in taxes is not always the one that shows the most profit on paper, and lenders lend on what your tax returns show.

What lenders want to see

  • Formation documents: articles of organization or incorporation.
  • Ownership documents: operating agreement or stock ledger showing who owns what percentage. Every owner must be a U.S. citizen or national under the 2026 SBA rule, and anyone with 20% or more usually signs a personal guarantee.
  • An EIN and a business bank account in the business’s name.
  • Good standing with your state.

Common mistakes

  1. Mixing personal and business money in the same account.
  2. Ownership percentages that are not written down.
  3. An LLC formed with a family member as a “silent” owner without documenting it.
  4. Letting the state registration lapse.

Frequently asked questions

Can a sole proprietor get an SBA loan?

Yes. All common structures can qualify, including sole proprietorships, LLCs and corporations.

Does an LLC protect me from an SBA loan?

Not fully. Owners with 20% or more usually sign a personal guarantee, which makes them personally responsible for the loan.

What business documents will the lender ask for?

Formation documents, an operating agreement or bylaws showing ownership, your EIN, a business bank account and proof of good standing.
